1. Agreement to Terms

These Terms of Sale ("Terms") govern all purchases made through the online store operated by YNY Solutions Inc. ("YNY Solutions," "we," "us," or "our"). By placing an order, creating an account, requesting a quote, or otherwise using our store, you agree to be bound by these Terms and our Privacy Policy.

If you are purchasing on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms. If you do not agree, do not place an order.

2. About YNY Solutions

YNY Solutions is an authorized Fortinet reseller based in Canada. We sell network security appliances, software licenses, subscriptions, renewals, accessories, and related technology products sourced through authorized distribution channels. We are an independent reseller and are not Fortinet, Inc.

3. Products and Services

Product descriptions, specifications, datasheets, compatibility notes, and images are provided for convenience and may be supplied by manufacturers or distributors. We make reasonable efforts to ensure accuracy but do not warrant that all content is complete, current, or error-free.

• Hardware products include firewalls, switches, access points, extenders, and related physical equipment
• Software and license products include subscription terms, seat counts, support tiers, and renewal periods as described on the product page or quote
• Availability, end-of-sale status, and manufacturer program eligibility may change without notice
• We reserve the right to limit quantities, refuse orders, or cancel orders placed in error or in violation of manufacturer or export rules

4. Quotes, Pricing, and Taxes

Prices displayed on the website are in Canadian dollars unless otherwise stated. Prices may exclude applicable taxes, shipping, duties, and handling charges, which will be calculated or confirmed at checkout or on your invoice.

Quotes are valid for the period stated on the quote or, if none is stated, for seven (7) business days. We may revise pricing due to manufacturer price changes, currency fluctuations, supply constraints, or errors. If a pricing error affects your order, we will notify you and give you the option to proceed at the corrected price or cancel.

5. Orders and Acceptance

Your order constitutes an offer to purchase. An order is not accepted until we confirm it by email, issue an invoice, begin fulfillment, or ship the product. We may request additional verification for business accounts, high-value orders, export-controlled products, or fraud-prevention purposes before accepting an order.

You are responsible for providing accurate billing, shipping, licensing, and end-user information. Delays or additional costs resulting from incorrect information provided by you are your responsibility.

6. Payment Terms

Payment is due at the time of order unless we have approved alternate payment terms in writing for qualified business customers. We accept payment methods displayed at checkout. Orders may be held until payment authorization is complete.

You authorize us and our payment processors to charge the payment method provided for the total order amount, including taxes and shipping. Failed, reversed, or disputed payments may result in order cancellation, suspension of account privileges, or collection action where permitted by law.

7. Shipping and Delivery

Shipping timelines shown on the website or in order communications are estimates only. Delivery dates are not guaranteed unless expressly agreed in a signed written contract.

• Title and risk of loss for hardware pass to you upon delivery to the carrier unless otherwise required by law
• Software licenses and subscription entitlements may be delivered electronically by email, vendor portal, or manufacturer registration process
• You are responsible for inspecting shipments promptly and reporting visible damage or shortages within five (5) business days of delivery
• We ship primarily within Canada unless otherwise agreed in writing

8. Software Licenses and Manufacturer Terms

Software, firmware, cloud services, and license subscriptions are subject to the end-user license agreements, subscription terms, and policies of Fortinet and other applicable manufacturers. Your use of licensed products must comply with those manufacturer terms.

License keys, serial numbers, activation codes, and entitlement registrations are non-transferable except as permitted by the manufacturer. Once issued, registered, or activated, licenses generally cannot be returned, revoked, or reassigned by YNY Solutions.

9. No Refunds — All Sales Final

Except where prohibited by applicable law, all sales are final. YNY Solutions does not offer refunds, credits, or returns once an order has been placed and accepted, including for hardware, software licenses, subscriptions, renewals, support contracts, or special-order items.

• Opened, configured, registered, activated, or deployed products are not eligible for refund
• License and subscription products are non-refundable after keys, entitlements, or serial numbers are generated or delivered
• Custom quotes, backordered items, and drop-shipped manufacturer products cannot be cancelled or refunded once submitted to the supply chain
• Shipping charges, payment processing fees, and restocking costs are non-refundable

By completing checkout, you acknowledge that you have reviewed your order, configuration, license term, and quantity, and that you understand our no-refund policy.

10. Returns, Cancellations, and Exchanges

Because technology products in this category are often made to order, electronically delivered, or registered with the manufacturer at time of fulfillment, we do not accept returns or exchanges except where required by law.

Order cancellation requests must be submitted before the order enters fulfillment or license generation. If cancellation is possible, it is at our sole discretion and may be subject to manufacturer or distributor fees. Once fulfillment has begun, the order is non-cancellable and non-refundable.

If you receive a defective hardware unit, contact us promptly. Hardware defects are handled through the manufacturer's warranty or RMA process where applicable. A manufacturer-approved RMA does not constitute a refund from YNY Solutions unless we expressly agree otherwise in writing.

11. Backorders and Availability

Products shown as available for backorder may be shipped when inventory is replenished or when supplied by our distributors. Backorder timelines are estimates only and are not guaranteed. Backordered items are subject to the same no-refund policy once the order is accepted and submitted for fulfillment.

12. Manufacturer Warranty and Support

Hardware and software products are covered by the manufacturer's warranty and support terms, if any, as described in product documentation or the applicable Fortinet service description. YNY Solutions does not provide a separate product warranty except for services expressly sold and documented by us.

Technical support for Fortinet products may require valid FortiCare or equivalent support entitlement. Support services purchased through YNY Solutions are governed by the service description and term selected at purchase.

13. Export Control and Compliance

Network security products may be subject to export control laws, sanctions, end-user restrictions, and manufacturer channel policies. You agree to comply with all applicable laws and not to export, re-export, resell, or transfer products in violation of Canadian, U.S., or other applicable regulations.

We may refuse, cancel, or delay orders if required for compliance review, denied-party screening, or manufacturer authorization requirements.

14. Acceptable Use

You may not use products purchased from us for unlawful purposes or in a manner that violates manufacturer licensing restrictions, including exceeding licensed capacity, sharing license keys, or deploying products without valid entitlements.

15. Disclaimer of Warranties

To the fullest extent permitted by law, products and services are provided on an "as is" and "as available" basis except for any manufacturer warranty expressly provided with the product. We disclaim all other warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant uninterrupted or error-free operation of website services, electronic delivery systems, or third-party manufacturer platforms.

16. Limitation of Liability

To the fullest extent permitted by applicable law, YNY Solutions will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, business interruption, or procurement of substitute products, arising from or related to your purchase or use of products or services.

Our total aggregate liability for any claim arising out of or relating to an order will not exceed the amount paid by you to YNY Solutions for that specific order. Some jurisdictions do not allow certain limitations, so these limits may not apply to you to the extent prohibited by law.

17. Force Majeure

We are not responsible for delays or failures caused by events beyond our reasonable control, including supplier shortages, manufacturer allocation changes, transportation disruptions, labor disputes, acts of government, natural disasters, cyber incidents, or failures of third-party systems.

18. Governing Law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. The courts located in Montreal, Quebec will have exclusive jurisdiction over disputes arising from these Terms or your purchase, unless applicable consumer protection law requires otherwise.

19. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date above indicates when they were most recently revised. Material changes will be posted on this page. Your continued use of the store or placement of orders after changes become effective constitutes acceptance of the revised Terms.
